Nature of This Document
These Terms of Service constitute the master terms governing the Website, member registration, quotations, payments, document uploads, electronic document downloads, QR verification, and the e-COT Service. In the event of any conflict between these Terms of Service and a separate agreement entered into with a corporate client, the separate agreement, quotation, purchase order, or engagement agreement shall prevail.
Article 1Purpose
The purpose of these Terms is to set forth the conditions and procedures for the use of the services provided by the Company, including translation, translation certification, fact verification, certified true copy (original comparison) services, administrative support relating to apostille and consular legalization, on-site verification, electronic document issuance, QR-based document verification, and services incidental thereto, as well as the rights, obligations, and responsibilities of the Company and its Users.
Article 2Scope of Application
- These Terms apply to all services provided through the Company’s website, sign-up screens, document upload screens, quotation and payment screens, QR verification pages, electronic document download pages, email, messenger channels, quotations, purchase orders, and any other channels designated by the Company.
- Where the Company has established separate terms of use, a quotation, a purchase order, an engagement agreement, a corporate client agreement, or a supplementary agreement for a particular service, such document shall prevail over these Terms.
Article 3Nature of the Services
- In accordance with the Administrative Agents Act and other applicable laws of the Republic of Korea, the Company provides services upon the Client’s mandate or request, including support for the preparation, translation, and submission of documents to be filed with administrative authorities, fact verification, issuance of certificates of translation, and related administrative services.
- The certificates of translation, certificates of fact verification, certified true copy certifications, electronic documents, and QR verification results provided by the Company are confirmation materials based on the work performed by the Company and the document information registered in the Company’s systems.
- The Company’s services do not guarantee acceptance, review, approval, permits, visa issuance, registration, court outcomes, bank approval, embassy acceptance, or any other final determination by the receiving institution or any other third-party authority.
Article 4Definitions
- “Services” means the translation, review, translation certification, fact verification, certified true copy certification, apostille and consular legalization support, on-site verification, document verification, QR verification, and electronic document issuance, storage, and retrieval services provided by the Company, together with any related ancillary services.
- “User” means any individual or legal entity that uses the Company’s services through the Company’s website, QR verification pages, email, messenger channels, quotations, payment pages, or any other channel.
- “Client” means a person who provides documents, materials, information, or work to the Company and requests the performance of services.
- “Client Materials” means the original documents, translations, identification documents, certificates, contracts, images, metadata, contact information, submission destination information, and other related materials provided or uploaded to the Company by the Client.
- “e-COT” means the electronic translation certification and QR-based document verification service provided by the Company.
- “Verification Information” means the information registered in the Company’s systems for confirming the validity of a document, including QR codes, issuance numbers, document titles, language pairs, dates and times of issuance, issuers, hash values, status values, and verification logs.
Article 5Posting and Amendment of the Terms
- The Company shall post these Terms in the website footer, on sign-up screens, on document upload and payment screens, on QR verification pages, or in other appropriate locations.
- The Company may amend these Terms where required due to amendments to applicable laws, changes to the services, security needs, or operational reasons.
- Amended Terms shall be posted on the website, or notified by electronic means, together with their effective date and a summary of the principal changes. If a User continues to use the services after the amended Terms take effect, the User shall be deemed to have agreed to the amended Terms.
Article 6Membership Registration and Account Management
- For services requiring membership registration, Users must provide accurate and up-to-date information.
- Users must use the services on their own behalf or on behalf of a legal entity or organization that they are lawfully authorized to represent, and may not use another person’s name, email, contact information, or documents without authorization.
- Users are responsible for the secure management of their accounts, passwords, QR links, download links, and verification page access information. The Company shall not be liable for any damage arising from a User’s negligent management of such information or from sharing it with third parties.
Article 7Service Requests and Formation of Contract
- A service request is made when a User submits documents, information, requirements, or a request for quotation to the Company, and the Company accepts it.
- For paid services, a contract is formed when the User approves the quotation or completes payment. However, the Company may decline acceptance where it determines that performance of the work is impossible or inappropriate.
- The Company may decline documents suspected of forgery or alteration, requests made for unlawful purposes, documents whose submission authority is unclear, work that risks infringing third-party rights, and work falling outside the Company’s scope of business.
Article 8Rights in and Scope of Use of Client Materials
- Ownership of, and original rights in, Client Materials belong to the Client or the rightful holder.
- The Client authorizes the Company to access, reproduce, translate, review, store, process, convert, print, and submit Client Materials, to generate Verification Information from them, to issue QR codes for them, and to retain them, to the extent necessary for the performance of the services.
- The Company uses Client Materials only within the scope of service delivery, customer support, error correction, dispute response, compliance with statutory retention obligations, security, and the prevention of forgery and alteration.
- The Company does not use Client Materials for advertising, public disclosure, or third-party marketing purposes without the Client’s consent.
Article 9Client’s Responsibility for Materials Provided
- The Client warrants that the materials provided to the Company are true, complete, and lawfully obtained.
- The Client is responsible for the authenticity of original documents; the accuracy of stated particulars such as names, dates of birth, passport numbers, addresses, company names, amounts, and dates; the provision of the receiving institution’s requirements; and the confirmation of submission deadlines.
- The Client bears responsibility for any rejection, delay, or additional cost arising from errors, omissions, forgery, or alteration in the original itself, unclear scans, damaged documents, failure to provide the receiving institution’s requirements, or inaccurate explanations by the Client.
Article 10Translation and Translation Certification
- The Company performs translation, review, format checking, and the issuance of certificates of translation based on the source text and requirements provided by the Client.
- Certificates of translation are issued for translations produced by the Company or by the responsible licensed foreign-language translation administrative attorney.
- Required formats for translations may vary depending on the receiving institution, country, agency, officer in charge, and document type. The Client must inform the Company in advance of any special forms required by the receiving institution, applicable notation conventions, and whether notarization, apostille, or consular legalization is required.
- The Company will process revision requests within a reasonable scope; however, changes to the source text, changes to the receiving institution’s requirements, information omitted by the Client at the outset, the incorporation of additional documents, and expedited rework may incur additional charges.
Article 11Fact Verification, Certified True Copies, and On-Site Verification
- Upon the Client’s request, the Company may perform fact verification or on-site verification with respect to documents, premises, businesses, products, interviews, counterparties, submission materials, and the like.
- The results of fact verification and on-site verification are based on the scope verifiable by the Company, the time of verification, the materials provided, and the accessibility of the site.
- The Company does not act in the capacity of an investigative agency, an appraisal body, an accredited testing laboratory, a financial institution, or a court, and verification results do not signify the absence of all legal, technical, or commercial risks.
Article 12e-COT and QR Verification
- e-COT is a service that enables confirmation of whether a document issued or registered by the Company is registered in the Company’s systems, and of its status, through Verification Information such as QR codes, issuance numbers, hash values, dates and times of issuance, document titles, language pairs, and status values.
- QR verification results are based on the information registered in the Company’s systems and the status as at the time of verification.
- QR verification results do not guarantee acceptance, approval, or review by the receiving institution, recognition of legal effect, determination of originality, or any administrative disposition.
- Users may not modify, edit, deface, recapture and reprocess, or redistribute QR codes, issuance numbers, download links, or electronic document files, or use them in any manner likely to mislead.
Article 13Electronic Documents and Electronic Notices
- The User agrees that the Company may provide terms, quotations, issuance results, verification results, revision requests, and notices by email, the website, QR pages, download links, electronic documents, text message, KakaoTalk notification message (AlimTalk), or other electronic means.
- The downloading, viewing, submission, and retention of electronic documents are the responsibility of the User.
- Where the content of a paper printout differs from the electronic document, or where the User has modified a file without authorization, the original Verification Information registered in the Company’s systems shall prevail.
Article 14Payment, Quotations, and Paid Services
- Service fees may vary depending on document volume, language pair, difficulty, whether certification is required, whether expedited service is requested, whether an on-site visit is required, the receiving institution’s requirements, external costs, and other factors.
- A quotation is valid for 7 days from its date of issue, and work commences when the Client approves the quotation and completes payment or provides written approval.
- Out-of-pocket expenses, such as fees for notarization, apostille, consular legalization, postage, courier service, external agency fees, verification costs other than translation, and travel expenses, may be billed separately.
Article 15Cancellation, Withdrawal, and Fee Returns
- Cancellation, withdrawal, and fee returns are governed by the “Cancellation, Withdrawal and Fee Return Policy” separately posted by the Company.
- For services performed individually at the Client’s request, such as translation, review, certification, fact verification, on-site verification, and e-COT issuance, a full refund may be limited once work has commenced.
- Where filing with an external agency, notarization arrangements, apostille, consular legalization, postal dispatch, an on-site visit, or expedited work has begun, the corresponding costs are non-refundable.
Article 16Prohibited Conduct
- Users must not submit or use forged, altered, or false documents; provide another person’s name, documents, or personal information without authorization; manipulate or misuse QR codes, issuance numbers, verification pages, or electronic documents; or use the Company’s name, logo, signature, seal, or certification language without authorization.
- Users may not use service deliverables for improper purposes such as false advertising, fraud, unlawful residence, sham contracts, financial fraud, or the forgery of official documents.
- Users must not engage in unauthorized access to the Company’s systems, scraping, excessive requests, security breaches, or any conduct that interferes with the services.
Article 17Confidentiality
- The Company shall not disclose to third parties, without just cause, the Client’s documents, personal information, transaction information, submission destination information, or details of the work that it comes to know in the course of its duties.
- However, the Company may disclose such information to the extent necessary at the Client’s request, for submission to external agencies as required for service performance, where required by law, upon a lawful request by an investigative agency, court, or administrative authority, or where necessary for dispute response.
- The Client likewise must not disclose or provide to third parties, without authorization, the Company’s confidential information, including quotations, internal review materials, the Company’s working methods, non-public reports, and corporate client terms.
Article 18Protection of Personal Information
- The Company processes personal information in accordance with the Personal Information Protection Act and other applicable laws. Specific processing purposes, categories, retention periods, third-party provision, outsourcing, destruction, and data subject rights are governed by the separate Privacy Policy.
- Where the Client provides the Company with documents containing third parties’ personal information, the Client must secure the authority or consent necessary for such provision.
Article 19Changes, Suspension, and Errors of the Services
- The Company may change, or temporarily suspend, all or part of the services for reasons of security, system maintenance, malfunctions, circumstances of external agencies, changes in laws, or business needs.
- The Company makes reasonable efforts to provide the QR verification service and the download service in a stable manner; however, the Company shall not be liable for failures caused by circumstances beyond its reasonable control, such as internet outages, hosting failures, failures of external services, User device or browser problems, natural disasters, or hacking.
Article 20Limitation of Liability
- Absent willful misconduct or gross negligence on the part of the Company, the Company shall not be liable for damage arising from errors, falsity, omissions, forgery, or alteration in the original materials provided by the Client; refusal of acceptance, delays in review, denial of approval, or changes in internal standards by the receiving institution; the Client’s failure to meet submission deadlines; or the Client’s failure to provide the receiving institution’s requirements.
- Unless special circumstances exist, the Company’s liability for damages is capped at the service fees actually paid to the Company by the relevant Client. However, damage caused by the Company’s willful misconduct or gross negligence is governed by applicable law.
Article 21Intellectual Property and Markings
- All rights in the Company’s trade name, brand, logo, the e-COT name, QR verification screens, certification language, system architecture, document forms, report templates, and website content belong to the Company.
- Users may not, without the Company’s prior written consent, use the Company’s name, logo, certification language, or QR verification screens for advertising, promotion, endorsement, or representations of affiliation.
Article 22Governing Law and Jurisdiction
- These Terms are interpreted in accordance with the laws of the Republic of Korea.
- In the event of a dispute arising in connection with the services, the Company and the User shall consult in good faith to resolve it.
- Any dispute not resolved through consultation shall be subject to the exclusive jurisdiction, by agreement, of the court having jurisdiction under the Civil Procedure Act or the court having jurisdiction over the location of the Company.
